Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Pixocount ("we", "us", or "the Service"), a WhatsApp lead CRM and sequential messaging platform. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Pixocount lets you import and manage business contacts ("leads"), create message templates, and send WhatsApp messages to your leads one at a time on a schedule and pattern you control. The Service connects to WhatsApp via a linked-device (WhatsApp Web–style) connection — it is not the official WhatsApp Business Cloud API.

2. Accounts

  • You must provide accurate registration information and keep your password secure.
  • You are responsible for all activity that happens under your account.
  • New accounts include a limited free trial period. After the trial ends, an active paid subscription is required to continue sending messages.
  • You must be legally able to enter into a binding contract to create an account.

3. Subscription Plans & Billing

  • Plans are billed in AED and set a weekly WhatsApp message allowance. Pricing and limits for each plan are shown on our Pricing page and may change with notice posted there.
  • Payments are processed by Ziina. Ziina does not support automatic recurring billing, so your subscription does not auto-renew — you make a new payment each billing period to keep sending. We'll show your current plan's renewal date in your billing dashboard.
  • Fees already paid are non-refundable except where required by law.
  • If your subscription lapses, sending is paused until you subscribe again — your account, leads, and campaign data are not deleted.

4. Acceptable Use

You agree not to use the Service to:

  • Send messages to recipients who have not agreed to be contacted by you.
  • Send spam, phishing, malware links, or otherwise unlawful or deceptive content.
  • Message a lead who has opted out or replied "STOP" (the Service enforces this automatically, but you must not attempt to circumvent it).
  • Violate WhatsApp's or Meta's terms, policies, or applicable law.
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.

We may suspend or terminate accounts that violate this section, with or without notice, at our discretion.

5. WhatsApp Messaging, Meta, and Your Responsibility

The messaging features of this Service work by connecting to WhatsApp, a product owned and operated by Meta Platforms, Inc. ("Meta"). Your use of WhatsApp through the Service is also subject to WhatsApp's own Terms of Service and messaging policies, which are set by Meta and outside of our control.

The Service is built to follow reasonable, good-faith sending practices — paced delays between messages, configurable sending windows, and automatic honoring of "STOP" replies. That said, WhatsApp independently monitors accounts for high-volume or automated-seeming activity, and may restrict, rate-limit, flag, suspend, or permanently ban a phone number or WhatsApp account at its sole discretion — including as a result of sending too many messages, messaging recipients who have not consented, or other activity WhatsApp considers abusive. This can happen regardless of how the Service is configured.

We are not responsible for, and accept no liability for, any restriction, suspension, ban, or loss of access to WhatsApp, or any resulting loss (including business loss), arising from your use of the WhatsApp messaging features of this Service. You are solely responsible for the volume and content of the messages you send, for obtaining appropriate consent from your recipients, and for complying with WhatsApp's and Meta's own policies.

6. Your Content & Data

You retain ownership of the lead data, templates, and messages you upload or create. You're responsible for having the right to use and message the contact data you import. See our Privacy Policy for how we handle your data.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or that any message will be delivered or read — delivery ultimately depends on WhatsApp/Meta's systems, which we do not control.

8. Limitation of Liability

To the maximum extent permitted by law, Pixocount and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service — including, without limitation, any WhatsApp account restriction or ban as described in Section 5. Our total liability for any claim relating to the Service is limited to the amount you paid us in the three months before the claim arose.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, misuse the Service, or fail to pay for an active subscription. Sections that by their nature should survive termination (e.g. Sections 5, 7, and 8) continue to apply after your account is closed.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continuing to use the Service after changes take effect means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of [your operating jurisdiction — e.g. the United Arab Emirates], without regard to conflict-of-law principles.
